• • The customer is responsible for providing all necessary content (text, images, product details) before the project starts.
  • Any additional features or changes requested beyond the initial scope will be subject to additional charges.
  • Payment terms: 50% upfront, 50% upon completion.
  • Monthly server maintenance and priority support are optional and can be cancelled with a 30-day notice.
  • Any requests for additional items, features, or changes that were not initially discussed and agreed upon will be considered out-of-scope and will incur additional charges. These changes will require a separate agreement and approval before any work is commenced.
  • All requests for changes or additions must be submitted in writing and will be subject to review. We will provide a detailed quote and timeline for the requested changes, which must be approved by the customer before any work begins.
  • To ensure timely completion of the project, any delays in providing required content or approvals from the customer will result in an extension of the project timeline.
  • Legal Disclaimer:
    • No Guarantee of Results: Overnight Social Media make no guarantees regarding the success, performance, or specific outcomes of the website or e-commerce platform. The customer acknowledges that results can vary significantly based on numerous factors beyond our control, including market conditions, consumer behavior, and the customer’s own business practices.
    • Limitation of Liability: Overnight Social Media shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use or inability to use the website; (b) any unauthorized access to or use of our servers and/or any personal information stored therein; (c) any interruption or cessation of transmission to or from our services; (d) any bugs, viruses, trojan horses, or the like that may be transmitted to or through our services by any third party; (e) any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available through the services; and/or (f) the defamatory, offensive, or illegal conduct of any third party.
    • Indemnification: The customer agrees to indemnify, defend, and hold harmless Overnight Social Media, and their respective directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with (a) your access to or use of the website or services; (b) your violation of these terms; (c) your violation of any third-party right, including without limitation any intellectual property right, publicity, confidentiality, property, or privacy right; (d) your content; or (e) any claim that your content caused damage to a third party.
    • Force Majeure: Overnight Social Media will not be liable for any failure or delay in performance due to causes beyond their reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
    • No Warranties: Overnight Social Media provide the services “as is” and “as available” without any warranties of any kind, either express or implied, including but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance. Overnight Social Media do not warrant that (a) the services will be uninterrupted, secure, or available at any particular time or location; (b) any errors or defects will be corrected; (c) the services are free of viruses or other harmful components; or (d) the results of using the services will meet your requirements.
    • Governing Law: This agreement shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law principles. Any disputes arising out of or in connection with this agreement shall be resolved exclusively in the competent courts in Israel.
    • Compliance with Israeli Law: Both parties agree to comply with all applicable laws and regulations of the State of Israel in the performance of their obligations under this agreement. The customer is responsible for ensuring that their use of the website complies with all applicable laws, including but not limited to privacy laws, consumer protection laws, and intellectual property laws.
    • Disclaimer under Israeli Law: According to Section 11 of the Israeli Standard Contract Law, 1982, Overnight Social Media disclaim any and all liability for the website’s performance, commercial success, or any other business outcomes. The customer acknowledges and agrees that they have no claims against [Your Company Name] and Overnight Social Media for any losses or damages arising from the use of the website.
